These terms cover our services, WooCommerce design, business automation with Make or Zapier, and UK or US company setup support.
1) How we work together
We send a proposal with scope, timeline, and fee.
A project starts when you accept the proposal in writing or by electronic signature and pay any stated deposit.
We deliver the work listed in the proposal. Anything else is a change request.
2) Your responsibilities
Share accurate info, content, and files on time.
Give us access to required accounts, store, CRM, ads, automation, hosting.
Review and approve work within the agreed review window.
Keep backups of your own data.
3) Deliverables and revisions
We deliver the items in your proposal.
Unless your proposal says otherwise, the fee includes two rounds of revisions per deliverable.
Extra rounds or new features are a change of scope and may be billed.
4) Timelines
Timelines depend on access, content, and approvals.
Delays on your side extend the timeline.
We will flag risks early and propose a new plan if needed.
5) Payments and invoicing
We invoice through Stripe or PayPal.
Currency is ₦ or USD, your proposal will state which.
A deposit may be required to start.
Invoices are due Net 7 or Net 14, see your proposal. Late payment may pause work.
Prices exclude taxes, government fees, paid plugins, third party costs, and courier or provider charges unless stated.
6) Refunds and cancellations, services
Deposits are non refundable once work starts.
If you cancel, you pay for work done up to the notice date.
Prepaid support hours, unused time is refundable minus any used hours.
Reschedules need 48 hours notice.
7) WooCommerce design, service rules
Performance depends on the hosting, theme, plugins, and content you choose.
We test checkout, payments, and key events, but we cannot control third party downtime.
SEO results and ad performance are not guaranteed.
8) Automation with Make or Zapier, service rules
We build in your accounts where possible. If built in our workspace, we transfer a copy or provide access as agreed.
Managed plan, we monitor runs, fix errors, and update flows.
Self managed, you operate the flows and we provide docs and training.
Event tracking is set up and tested, but platforms may change rules and APIs.
9) UK or US company setup, service rules
We provide process guidance and filing support.
We do not give legal or tax advice. Use a qualified professional for that.
Outcomes such as bank or fintech or Stripe approval depend on third party rules and your documents. No guarantees.
You are responsible for the truth and accuracy of all information submitted.
10) Privacy and data
See our Privacy Policy.
For website leads we act as a Data Controller.
For client work we act as a Processor or Service Provider under your instructions.
We prefer client owned accounts and least privilege access. We remove access after handover or on request.
11) Intellectual property
You own your content, data, and brand assets.
After full payment, you receive a worldwide, non exclusive license to use the deliverables for your business.
We may use our libraries, templates, and know how in other projects.
Third party licenses, themes, plugins, fonts, images, remain with their vendors and may have their own terms or fees.
12) Publicity
We may list your name or logo and a short description of the work in our portfolio and proposals.
Tell us if you want no publicity and we will respect that.
13) Warranties and limits
We provide services with reasonable skill and care.
We do not promise specific revenue, ranking, or approval outcomes.
To the extent allowed by law, we are not liable for lost profits, lost data, or indirect losses.
Our total liability for a project is limited to the fees you paid for that project.
14) Indemnity
You agree to indemnify us against claims or losses arising from:
Content or data you provide
Use of the deliverables outside the agreed scope
Your breach of these terms or any law
15) Suspension and termination
We may suspend work for unpaid invoices or misuse of access.
Either party may end the project for a material breach not fixed within 10 days of notice.
On termination, you pay for work done up to that date.
16) Force majeure
Neither party is liable for delays caused by events beyond reasonable control, for example outages, strikes, new platform restrictions, or government actions.
17) Governing law
These terms are governed by the laws of Nigeria. Disputes will be handled by the courts of Lagos State, Nigeria.
If you prefer a different jurisdiction, tell us and we can update this clause in your copy.
18) Changes to these terms
We may update these terms. We will change the date above and post the new version. The version active at project start applies unless both sides agree otherwise in writing.
